Terms of Service

Welcome to Prosely, a service operated by Sandstorm Digital ("we", "us", "our"). These Terms of Service ("Terms") govern your access to and use of the Prosely platform at prosely.ai (the "Service"). By creating an account or using the Service, you agree to these Terms.

If you do not agree with any part of these Terms, do not use the Service.

1. Eligibility and Account

You must be at least 18 years old and legally able to enter into a binding contract. You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

2. User Content and Access

You retain ownership of any content you create, upload, or publish through the Service ("User Content").

By using the Service, you grant Prosely a worldwide, non-exclusive, royalty-free license to host, store, reproduce, process, and display your User Content solely for the purpose of operating, improving, and providing the Service.

We may access, review, and analyze User Content:

(a) to provide and maintain the Service;
(b) to ensure compliance with these Terms;
(c) to detect, prevent, or address fraud, security, or technical issues; and
(d) where required by applicable law.

Access to User Content is limited to authorized personnel and systems and is subject to appropriate security safeguards.

We do not sell your User Content. We do not use your private User Content for advertising purposes without your explicit consent.

You are responsible for ensuring that your User Content does not violate applicable laws or third-party rights.

3. AI Model Training

Prosely uses third-party large language models (currently Anthropic's Claude via API) to generate content on your behalf. Your User Content is sent to these providers solely to fulfil your generation requests. Our API providers do not use your content to train their foundation models.

Training on your User Content. We currently do not train any AI model on your User Content. In the future, we may use User Content from users who have explicitly opted in to help fine-tune smaller models or improve our output quality. This will only happen with your explicit opt-in consent, which you can provide or revoke at any time from your Profile settings. If you have not opted in, your User Content will never be used to train any model.

If you opt in, the data collected may include the articles and edits you produce using the Service, alongside the brand context and prompts you provided. This data helps us build a better model of what makes Prosely's output useful to agencies and content teams.

You can change your opt-in status at any time. If you revoke consent, we will stop using your newly-produced content for training going forward, but previously-trained models cannot be retroactively "untrained".

4. Subscription and Payment

The Service offers a free trial with a card on file (to prevent abuse) and paid plans (Starter, Growth, Scale). Paid plans are billed monthly in advance via Stripe. You may cancel at any time from the Billing section of your account. Cancellation stops future charges but does not refund the current billing period.

We reserve the right to change pricing with at least 30 days' notice to existing subscribers.

5. Acceptable Use

You agree not to:

Use the Service to generate content that is illegal, defamatory, infringing, or promoting violence, hatred, or harassment;
Attempt to reverse-engineer, scrape, or bypass the Service's technical controls;
Share your account credentials with unauthorised users;
Use the Service to produce content that impersonates real people or public figures in misleading ways;
Resell access to the Service without our written permission.

We may suspend or terminate accounts that violate these Terms, with or without notice.

6. Service Availability

We aim to provide reliable service but make no guarantee of uninterrupted availability. The Service is provided "as is" and "as available". We may modify, suspend, or discontinue features at any time.

7. AI-Generated Content Disclaimer

Prosely.ai generates content using artificial intelligence. AI-generated content can and does contain mistakes — including factual errors, fabricated statistics, incorrect citations, outdated information, and content that sounds plausible but is not accurate.

You must review and verify all AI-generated content before publishing or relying on it. This includes checking citations against the original source, verifying statistics and figures, confirming quoted material, and ensuring factual accuracy. Prosely's citation verification and claim-checking features are tools to help you do this — they are not a substitute for human review.

We do not warrant that any generated content is accurate, complete, current, reliable, or suitable for any particular purpose. You are solely responsible for the content you publish, distribute, or act upon.

8. Limitation of Liability

To the fullest extent permitted by law, Prosely and Sandstorm Digital will not be liable for indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service will not exceed the amount you paid us in the twelve months preceding the claim.

9. Termination

You may delete your account at any time from your Profile settings or by emailing info@sandstormdigital.com. We may terminate or suspend your account for violation of these Terms.

On termination, we will delete your User Content according to the retention policy in our Privacy Policy.

10. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice at least 14 days before taking effect. Continued use after changes take effect constitutes acceptance.

11. Governing Law

These Terms are governed by the laws of the United Arab Emirates. Any disputes will be resolved in the courts of the UAE, unless local consumer protection laws in your jurisdiction require otherwise.
